1. Agreement to Terms

By accessing or using ChatDocs (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

These Terms constitute a legally binding agreement between you and Max Digital Solutions AB (org. nr 5593221046), a company registered in Sweden ("ChatDocs", "we", "us", or "our").

2. Eligibility

You must be at least 16 years old to use this Service. By using the Service, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

3. Description of Service

ChatDocs is an AI-powered document analysis service that allows you to upload documents and ask questions about their content. The Service uses artificial intelligence to process and analyze your documents.

3.1 Free Trial

  • New users receive a 30-question free trial (no time limit)
  • Trial includes limited document uploads
  • Inactive trial data is automatically deleted after 14 days of inactivity
  • One trial per user/phone number

3.2 Paid Service

  • Monthly subscription plan (Standard)
  • Pricing displayed in EUR on our website
  • Questions are deducted from your monthly quota
  • Unused questions roll over. Subscriptions are non-refundable

3.3 Service Modifications

We may modify, update, or discontinue features of the Service at any time. Material changes that negatively impact your use will be communicated with 30 days notice. Continued use after changes constitutes acceptance.

4. Account Registration

To use the full Service, you must:

  • Create an account via Auth0 authentication
  • Provide accurate and complete information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access

You are responsible for all activities under your account.

5. Payment and Billing

5.1 Pricing

Current pricing is available on our website. We reserve the right to change pricing with 30 days' notice to existing customers.

5.2 Payment Processing

Payments are processed securely through Stripe. By providing payment information, you represent that you are authorized to use the payment method.

5.3 Subscriptions

  • Monthly subscription plans with question quotas
  • Questions are deducted from your monthly quota
  • Unused questions roll over to the next month (rolled-over questions expire after 12 months of account inactivity)
  • Subscriptions auto-renew monthly until cancelled
  • You can cancel anytime; access continues until period ends
  • Subscriptions are non-refundable (see Section 5.6)

5.4 Top-ups

  • Additional questions can be purchased as top-ups
  • Top-up questions expire after 12 months of account inactivity
  • Top-ups require an active subscription to use
  • Top-up credits have no cash value and are non-transferable
  • Top-up questions are non-refundable
  • In the event of service discontinuation, unused top-up credits are non-refundable and must be used before the discontinuation date

5.5 Taxes

Prices may be subject to VAT or other applicable taxes based on your location. Taxes, if applicable, will be added at checkout.

5.6 Refund Policy

All subscription purchases and top-ups are final and non-refundable.

  • Questions are deducted from your quota as you use the service
  • AI processing costs are incurred in real-time
  • Document processing and storage resources are allocated upon upload
  • We offer a free trial to test the service before subscribing

5.6.1 EU Right of Withdrawal

Under EU consumer protection law, you typically have a 14-day right of withdrawal for online purchases. However, by subscribing you acknowledge that:

  • The digital content (subscription access) will be available immediately upon purchase
  • You explicitly consent to immediate performance
  • You waive your 14-day right of withdrawal in accordance with Article 16(m) of the Consumer Rights Directive

5.6.2 Exceptions

We may issue refunds in exceptional circumstances at our sole discretion, including:

  • Technical errors: If we charge you incorrectly due to a system error
  • Duplicate charges: If you are charged multiple times for the same purchase
  • Unauthorized charges: If purchases were made without your authorization (fraud)
  • Extended service outage: If our service experiences extended downtime preventing use

To request an exception, contact us within 14 days of the purchase at privacy@chatdocs.eu with your account email, transaction details, and explanation.

5.6.3 Payment Disputes

If you have concerns about a charge, please contact us directly before initiating a chargeback with your bank or payment provider. We are committed to resolving issues fairly and promptly. Initiating a chargeback without contacting us first may result in suspension of your account.

6. Use of Service

6.1 Permitted Use

You may use the Service for:

  • Analyzing your own documents
  • Documents you have permission to process
  • Lawful business or personal purposes

6.2 Prohibited Use

You may NOT:

  • Upload documents you don't have rights to
  • Use the Service for illegal purposes
  • Upload malicious files (viruses, malware)
  • Attempt to circumvent usage limits or security measures
  • Reverse engineer or copy our AI models
  • Resell or redistribute the Service without authorization
  • Upload content that violates third-party rights
  • Use the Service to process personal data of EU residents without proper legal basis
  • Harass, abuse, or harm others through the Service

7. Your Content

7.1 Ownership

You retain all ownership rights to the documents and content you upload ("Your Content"). You grant us a limited license to process Your Content solely to provide the Service.

7.2 License to ChatDocs

By uploading content, you grant us a worldwide, non-exclusive, royalty-free license to:

  • Store and process your documents
  • Use AI/ML models to analyze content
  • Generate responses to your questions
  • Improve our Service (in aggregated, anonymized form only)

7.3 Your Responsibilities

  • You are solely responsible for Your Content
  • You must have rights to upload and process the content
  • You ensure content complies with applicable laws
  • You indemnify us against claims related to Your Content

7.4 Content Deletion

You can delete your documents at any time. Documents are deleted immediately upon request. When you close your account, all documents are deleted immediately via cascade deletion. AWS infrastructure-level backups may retain encrypted copies for up to 35 days for disaster recovery purposes, which are inaccessible to our application and automatically purged thereafter.

7.5 Chat History

Questions, answers, and conversation history are stored while your account is active. All chat data is deleted immediately when you close your account via cascade deletion.

7.6 Illegal Content (EU Digital Services Act)

ChatDocs acts as a hosting service provider under the EU Digital Services Act (Regulation 2022/2065). We do not monitor uploaded content but will respond to valid notices regarding illegal content.

To report illegal content, email legal@chatdocs.eu with:

  • Identification of the content in question
  • Location of the content (URL or document reference)
  • Your contact information
  • Explanation of why the content is illegal
  • Statement of good faith belief

We reserve the right to remove allegedly illegal content without prior notice and without liability to you. Accounts with repeated violations will be terminated.

8. AI and Third-Party Processing

Our Service uses third-party providers to process your data. By using the Service, you acknowledge that:

  • Your document content is processed by AI models hosted within the EU (Azure OpenAI, Sweden Central region)
  • WhatsApp messages (your questions and AI-generated answers) are transmitted through 360dialog GmbH (Germany) and Meta Platforms' WhatsApp infrastructure
  • AI responses are generated automatically and may contain errors
  • We are not responsible for the accuracy of AI-generated responses
  • You should verify important information independently

8.1 Third-Party Providers

The following third-party providers process your data as part of the Service:

  • Azure OpenAI (Microsoft, Sweden Central): AI processing of document content. All data stays within the EU.
  • 360dialog GmbH (Germany): WhatsApp Business API provider. Message content transits their EU-based infrastructure.
  • Meta Platforms (WhatsApp): Message delivery to and from your WhatsApp account. Subject to WhatsApp's terms of service and privacy policy.

By using the Service, you also agree to comply with the usage policies of our AI and messaging providers, currently OpenAI and WhatsApp/Meta. Violation of third-party provider terms may result in account termination. (usage policies).

9. Intellectual Property

The Service, including all software, designs, text, graphics, and trademarks, is owned by ChatDocs or our licensors. You may not copy, modify, distribute, or create derivative works without our written permission.

10. Termination

10.1 By You

You may terminate your account at any time through the account settings in your dashboard. Your current subscription period is non-refundable unless required by applicable law.

10.2 By Us

We may suspend or terminate your account if you:

  • Violate these Terms
  • Engage in fraudulent or illegal activity
  • Abuse the Service or other users
  • Fail to pay for services

10.3 Effect of Termination

  • Your access to the Service will be revoked
  • Your documents and chat history will be deleted immediately via cascade deletion
  • Remaining subscription period is forfeited (non-refundable unless required by applicable law)
  • Sections 7 (Your Content), 11 (Disclaimers), 12 (Limitation of Liability), 13 (Indemnification), 14 (Governing Law), and 20 (Assignment) survive termination of these Terms

10.4 Service Discontinuation

If we discontinue the Service, we will provide at least 90 days notice via email. During this period, you may export your documents and data. Prepaid subscription fees for unused months will be refunded pro-rata. Top-up credits must be used before discontinuation and are not refundable.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Warranties of merchantability or fitness for a particular purpose
  • Accuracy, reliability, or completeness of AI responses
  • Uninterrupted or error-free operation
  • Security or freedom from viruses

Some jurisdictions do not allow disclaimers of implied warranties, so some of the above may not apply to you.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CHATDOCS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, data, or business opportunities
  • Service interruptions or errors
  • Reliance on AI-generated content
  • Unauthorized access to your account

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR €100, WHICHEVER IS GREATER.

13. Indemnification

You agree to indemnify and hold ChatDocs harmless from any claims, damages, or expenses arising from:

  • Your violation of these Terms
  • Your violation of any laws or third-party rights
  • Your Content or use of the Service
  • Unauthorized use of your account

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of Sweden, without regard to conflict of law principles.

Any disputes shall be resolved in the courts of Sweden. If you are a consumer in the EU, you may also have the right to bring proceedings in your country of residence.

EU consumers may use the European Commission's Online Dispute Resolution platform:

15. Changes to Terms

We may update these Terms from time to time. We will notify you of changes via email or prominent notice on the Service.

15.1 Non-Material Changes

For minor or clarifying changes, continued use of the Service after the update constitutes acceptance.

15.2 Material Changes

For material changes that significantly affect your rights or obligations, we may require explicit acceptance before you can continue using the Service. If explicit acceptance is required:

  • You will be notified at least 30 days before the changes take effect
  • We reserve the right to suspend or freeze your account, including restricting access to all Service features, until you accept the updated Terms
  • If you do not accept the updated Terms within 60 days, we may terminate your account in accordance with Section 10
  • If you disagree with the changes, you may terminate your account before the changes take effect

16. Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions will remain in full force and effect.

17. Entire Agreement

These Terms, together with our and other referenced policies, constitute the entire agreement between you and ChatDocs regarding the Service.

19. Force Majeure

We are not liable for any failure or delay caused by circumstances beyond our reasonable control, including but not limited to: natural disasters, war, terrorism, pandemic, labor disputes, government actions, power failures, internet disruptions, or third-party service failures (including AI providers).

20. Assignment

You may not assign or transfer your account or these Terms without our written consent. We may assign these Terms and your account to an affiliate or successor in connection with a merger, acquisition, or sale of assets, with notice to you.
